By accessing our website, requesting a quote, or placing a wholesale order for our digital timepieces and smart sensors, you agree to be bound by the following Terms and Conditions.

1. B2B Wholesale & OEM Orders

Minimum Order Quantity (MOQ): Stock orders of unbranded product ship from 10 units. Light OEM (logo, packaging, manual) starts at 100 units. Deep OEM (color, firmware, PCBA changes) starts at 1,000 units. Full ODM projects are quoted per project — MOQ varies by product model and tooling scope.
Order Acceptance: An order is only considered accepted and binding once ClockWholesale issues a formal Proforma Invoice (PI) and the required deposit or full payment is received.

2. Pricing and Payment Terms

Pricing: All prices quoted are strictly B2B wholesale prices. Unless otherwise stated on the PI, prices do not include shipping, customs duties, or import taxes.
Payment Structure:
- Standard Wholesale: 100% payment via T/T prior to dispatch.
- Custom OEM/ODM: A 50% non-refundable deposit is required to commence production (including tooling and custom PCBA layout), with the remaining 50% balance due after final inspection and prior to shipment.

3. Shipping and Risk of Loss

Incoterms: We operate primarily under EXW (Ex Works) or FOB Shenzhen terms, as specified in your contract.
Risk Transfer: For FOB shipments, the risk of loss or damage transfers to the buyer once the goods pass the ship’s rail at the named port of shipment. Buyers are strongly encouraged to purchase comprehensive freight insurance.

4. Warranty and Returns (RMA)

ClockWholesale provides a standard 12-month limited warranty against manufacturing defects on all digital clocks and sensors.
This warranty does not cover damage resulting from improper installation, misuse, unauthorized firmware modifications, or acts of nature.
Due to the nature of B2B wholesale and custom OEM manufacturing, we do not accept returns for unsold inventory or “change of mind.” Defective units validated by our engineering team will be credited or replaced in the buyer’s next production batch.

5. Intellectual Property

All product designs, proprietary PCBA layouts, and customized firmware developed during Full ODM projects remain the intellectual property of Sanmitron Electronics Co., Ltd. unless an exclusive transfer agreement is explicitly signed and fully paid for by the buyer.

6. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with standard international trade laws and the local laws of our operating jurisdiction, without regard to its conflict of law provisions.
